Terms & Conditions

Note: These Terms cover use of our website and general business relationship. Specific project engagements are governed by a separate Statement of Work (SOW) or Service Agreement signed between ThreeUp Tech and the client. In case of conflict, the signed agreement takes precedence.

Acceptance of Terms

By accessing this website or engaging ThreeUp Tech for services, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use this website or our services.

These Terms apply to all visitors, inquirers, and clients of ThreeUpTech, LLC ("ThreeUp Tech", "we", "us", or "our").

Services

ThreeUp Tech provides custom software development, AI integration, workflow automation, mobile application development, digital marketing systems, and software architecture consulting.

The scope, timeline, deliverables, and pricing for any specific engagement are defined in a separate Statement of Work or Service Agreement agreed upon before work begins. We reserve the right to decline any project at our discretion.

Engagements & Payment

All project engagements require a signed agreement and, unless otherwise specified, a deposit prior to work commencing. Payment terms are specified per engagement:

  • Invoices are due within the timeframe stated on the invoice (typically net 14 or net 30)
  • Late payments may incur a late fee as specified in the signed agreement
  • Deposits are generally non-refundable once work has commenced
  • Disputed invoices must be raised in writing within 7 days of receipt

ThreeUp Tech reserves the right to pause or suspend work on active projects where invoices remain unpaid beyond their due date.

Intellectual Property

Unless explicitly stated otherwise in a signed agreement:

  • Upon receipt of full payment, the client owns all custom code, designs, and deliverables created specifically for their project
  • ThreeUp Tech retains ownership of any pre-existing tools, frameworks, libraries, or methodologies used in delivering the work
  • ThreeUp Tech may reference the project and use anonymized details for portfolio and marketing purposes unless the client requests otherwise in writing
  • Third-party libraries and open-source components are subject to their respective licenses

Confidentiality

Both parties agree to treat non-public information shared during an engagement as confidential. ThreeUp Tech will not disclose client business information, technical details, or data to third parties without explicit written consent, except as required by law.

If a formal Non-Disclosure Agreement (NDA) is required, this must be established before any sensitive information is shared.

Client Responsibilities

Successful project delivery depends on timely collaboration. Clients are expected to:

  • Provide timely feedback, approvals, and access to required systems or accounts
  • Ensure that materials provided (copy, images, data, credentials) do not infringe on third-party rights
  • Designate a primary point of contact for communications
  • Notify ThreeUp Tech promptly of any changes to project scope or requirements

Delays caused by the client may affect agreed timelines without constituting a breach by ThreeUp Tech.

Warranties & Disclaimers

ThreeUp Tech warrants that services will be performed in a professional manner consistent with industry standards. We will remedy material defects in our work within a reasonable period following delivery, as specified in the engagement agreement.

We do not warrant that software will be entirely error-free or uninterrupted in all environments. This website and its content are provided "as is" without warranties of any kind. We do not guarantee specific business outcomes from the software or systems we build.

Limitation of Liability

To the maximum extent permitted by law, ThreeUp Tech's total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim in the preceding 90 days.

ThreeUp Tech shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits or data, even if advised of the possibility of such damages.

Termination

Either party may terminate an engagement with written notice as specified in the signed agreement. Upon termination:

  • The client is responsible for payment of all work completed up to the termination date
  • ThreeUp Tech will deliver all completed work and project assets upon receipt of outstanding payment
  • Any post-termination obligations (such as code handover documentation) will be handled as agreed in writing

Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or from a project engagement that cannot be resolved amicably shall be subject to binding arbitration or the jurisdiction agreed upon in the signed engagement agreement.

Changes to Terms

We may update these Terms from time to time. Changes will be reflected in the "Last updated" date above. Your continued use of this website or services after changes are posted constitutes acceptance of the updated Terms. Signed client agreements are not retroactively affected by changes to these general Terms.
